By installing, copying, or otherwise using this software, you (“Licensee”) agree to be bound by the terms of this license. If you do not agree, do not install or use the software. This license applies to the following packages: @grid-is/spreadsheet-engine, @grid-is/spreadsheet-viewer, and @grid-is/spreadsheet-editor (collectively, the “Software”). Any reference to “Licensee” includes Licensee’s employees, contractors, subcontractors, AI agents, and automated processes acting on Licensee’s behalf. If you are accepting these terms on behalf of a company or other legal entity, “Licensee” refers to that entity, and you represent and warrant that you have the authority to bind that entity to these terms.
1. DEFINITIONS
Section titled “1. DEFINITIONS”1.1 “Confidential Information” means all information embodied in or derived from the Software, including without limitation object code, algorithms, data structures, performance metrics, and any other technical or business information that would reasonably be considered confidential under the circumstances.
1.2 “Evaluation Purpose” means (a) Licensee’s internal evaluation of the Software to determine whether to enter a commercial relationship with GRID; or (b) Licensee’s personal, educational, or other non-commercial use of the Software by an individual not acting on behalf of a commercial enterprise. For the avoidance of doubt, Evaluation Purpose excludes any commercial use, competitive analysis, reverse engineering, or use in production environments.
1.3 “Intellectual Property Rights” means all intellectual property rights worldwide, including without limitation patents, copyrights, trademarks, trade secrets, know-how, moral rights, database rights, and any other proprietary rights, whether registered or unregistered.
1.4 “Software” means the following proprietary packages and all related documentation provided by GRID: @grid-is/spreadsheet-engine (a high-performance calculation engine fully compatible with Excel and Google Sheets, capable of running in-browser or server-side); @grid-is/spreadsheet-viewer (a JavaScript library for viewing spreadsheets in a web-based environment); and @grid-is/spreadsheet-editor (which extends the Viewer with comprehensive spreadsheet editing capabilities). The license includes version updates and modifications provided during the term.
2. LICENSE GRANT
Section titled “2. LICENSE GRANT”2.1 Limited License. Subject to the terms and conditions of this license, GRID hereby grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- (a) Install the Software on Licensee’s internal systems or staging environment;
- (b) Use the Software solely for the Evaluation Purpose; and
- (c) View and review any documentation provided with the Software.
2.2 License Restrictions. Licensee shall not, and shall not permit any third party to:
- (a) Use the Software for any commercial purpose, including in any product, internal service, or workflow that generates revenue or cost savings directly or indirectly;
- (b) Use the Software in any production environment;
- (c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Software;
- (d) Modify, adapt, alter, translate, or create derivative works of the Software;
- (e) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices on the Software;
- (f) Distribute, sell, lease, rent, lend, sublicense, or otherwise transfer the Software to any third party;
- (g) Use the Software for competitive analysis or to develop competing products or services;
- (h) Incorporate any portion of the Software into any other software or system, except temporarily in a non-production, staging, or sandbox environment solely to validate compatibility.
“Commercial use” means any use in connection with a business activity, revenue-generating product or service, or operational workflow that generates revenue or cost savings — whether or not direct payment is received. This includes use by AI agents, automated processes, and contractors acting on Licensee’s behalf.
3. INTELLECTUAL PROPERTY OWNERSHIP
Section titled “3. INTELLECTUAL PROPERTY OWNERSHIP”3.1 GRID Ownership. Licensee acknowledges and agrees that:
- (a) GRID retains all right, title, and interest in and to the Software, including all Intellectual Property Rights therein;
- (b) The Software constitutes valuable trade secrets and proprietary information of GRID;
- (c) No ownership rights or Intellectual Property Rights in the Software are transferred to Licensee under this license;
- (d) This license grants only the limited rights set forth in Section 2.1 and no other rights, whether express or implied.
3.2 No Derivative Works. Licensee has no rights to create any derivative works, modifications, enhancements, or customisations of the Software. Any attempted creation of derivative works shall be deemed a material breach of this license and all rights in any such unauthorised derivatives shall automatically vest in GRID.
3.3 Feedback. If Licensee provides GRID with any suggestions, comments, improvements, ideas, or other feedback regarding the Software (“Feedback”), GRID shall have a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into its products and services without any obligation or compensation to Licensee.
4. SOFTWARE IP PROTECTION
Section titled “4. SOFTWARE IP PROTECTION”4.1 Protecting Software Internals. The Software embodies proprietary algorithms, trade secrets, and intellectual property of GRID. Licensee shall not publish, share, or disclose: (a) decompiled, disassembled, or reverse-engineered output of the Software; (b) internal data structures, performance metrics, or implementation details not apparent from ordinary use; or (c) any analysis whose primary purpose is to expose the internal workings of the Software.
4.2 Permitted Sharing. Nothing in this license prevents Licensee from: (a) building, publishing, or sharing non-commercial projects, tools, or applications built using the Software, including open-source projects; (b) writing or publishing blog posts, tutorials, case studies, or documentation about using the Software; (c) publicly sharing outputs produced by the Software (such as rendered spreadsheets or calculation results); or (d) discussing the Software’s publicly observable behaviour and documented APIs.
4.3 Survival. The obligations in Section 4.1 survive termination of this license.
5. TELEMETRY
Section titled “5. TELEMETRY”The Software sends a single anonymous ping to GRID’s servers upon initialisation. This ping contains: the package name, package version, and runtime environment. No spreadsheet data, no personally identifiable information, and no usage data beyond the init event is transmitted. This ping fails silently in offline or restricted environments and does not affect the Software’s functionality. Telemetry is not included in commercial licenses.
6. NO WARRANTIES
Section titled “6. NO WARRANTIES”6.1 AS-IS BASIS. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. GRID EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: (a) WARRANTIES OF MERCHANTABILITY; (b) WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE; (c) WARRANTIES OF NON-INFRINGEMENT; (d) WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE; (e) WARRANTIES THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE; (f) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF RESULTS OBTAINED FROM THE SOFTWARE.
6.2 No Support. GRID has no obligation to provide any support, maintenance, updates, or error corrections for the Software.
6.3 Evaluation Purpose Only. Licensee acknowledges that the Software is provided solely for evaluation purposes and is not intended for use in production environments or for processing critical or sensitive data.
7. LIMITATION OF LIABILITY
Section titled “7. LIMITATION OF LIABILITY”7.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS LICENSE OR THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF GRID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRID’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS LICENSE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
7.3 Essential Basis. Licensee acknowledges that the limitations of liability in this Section 7 are an essential basis of the bargain and that GRID would not make the Software available without such limitations.
8. INDEMNIFICATION
Section titled “8. INDEMNIFICATION”Licensee shall indemnify, defend, and hold harmless GRID and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Licensee’s breach of this license; (b) Licensee’s use of the Software in violation of this license; (c) any breach of Section 4 (Software IP Protection); or (d) any negligence or willful misconduct by Licensee or those acting on its behalf.
9. TERM AND TERMINATION
Section titled “9. TERM AND TERMINATION”9.1 Term. This license is effective from the date of first installation and continues until terminated.
9.2 Termination by GRID. GRID may terminate this license immediately upon notice to Licensee: (a) at any time, with or without cause; (b) if Licensee breaches any provision of this license; (c) if Licensee uses the Software for commercial purposes or competitive analysis; or (d) if required by applicable law or regulation.
9.3 Termination by Licensee. Licensee may terminate this license at any time by ceasing all use of the Software and deleting all copies.
9.4 Effect of Termination. Upon termination: (a) all rights granted under Section 2 shall immediately terminate; (b) Licensee shall permanently delete all copies of the Software from all systems and storage media; and (c) Sections 3 (Intellectual Property Ownership), 4 (Software IP Protection), 6 (No Warranties), 7 (Limitation of Liability), 8 (Indemnification), 10 (General Provisions), and 11 (Jurisdiction) shall survive termination.
10. GENERAL PROVISIONS
Section titled “10. GENERAL PROVISIONS”10.1 Entire Agreement. This license constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior or contemporaneous agreements, understandings, and discussions, whether oral or written.
10.2 Amendments. GRID may update these terms at any time by publishing a new version to the relevant package repository. Continued use of the Software following publication of an update constitutes acceptance of the updated terms.
10.3 Assignment. Licensee may not assign, transfer, or delegate any of its rights or obligations under this license without GRID’s prior written consent. Any attempted assignment in violation of this Section shall be void. GRID may freely assign this license to any successor or affiliate.
10.4 Governing Law. This license shall be governed by and construed in accordance with the laws of Iceland, without regard to its conflict of laws principles.
10.5 Severability. If any provision of this license is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
10.6 Waiver. No waiver of any provision of this license shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. No failure or delay by GRID in exercising any right under this license shall operate as a waiver thereof.
10.7 No Partnership. This license does not create any partnership, joint venture, employment, or agency relationship between the parties. Neither party has authority to bind the other or to incur obligations on the other’s behalf.
10.8 Force Majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including without limitation acts of God, war, terrorism, labour disputes, or governmental actions.
10.9 Export Compliance. Licensee shall comply with all applicable export control laws and regulations. Licensee shall not export, re-export, or transfer the Software to any prohibited country, entity, or person without appropriate governmental authorisation.
10.10 Interpretation. Section headings are for convenience only and shall not affect the interpretation of this license. The words “include,” “includes,” and “including” shall be deemed to be followed by “without limitation.”
10.11 Reservation of Rights. All rights not expressly granted to Licensee in this license are reserved by GRID.
11. JURISDICTION
Section titled “11. JURISDICTION”Any dispute arising out of or relating to this license shall be subject to the exclusive jurisdiction of the District Court of Reykjavík (Héraðsdómur Reykjavíkur), Iceland. The parties irrevocably submit to the personal jurisdiction of that court and waive any objection to the laying of venue in Reykjavík, Iceland.
12. SPECIAL PROVISIONS
Section titled “12. SPECIAL PROVISIONS”12.1 Injunctive Relief. Licensee acknowledges that any breach of Sections 2 (License Grant), 3 (Intellectual Property Ownership), or 4 (Software IP Protection) would cause irreparable harm to GRID for which monetary damages would be an inadequate remedy. Accordingly, GRID shall be entitled to seek equitable relief, including injunctive relief and specific performance, in addition to all other remedies available at law or in equity, without the need to post bond.
